Preamble
Before accepting this Agreement, please carefully read the entire text of this Agreement (especially the content marked in bold and/or underlined). If you have any questions regarding the terms of this Agreement, please consult the relevant business department, and we will explain the terms to you. If you do not agree to any part of this Agreement, or if you cannot accurately understand our interpretation of the terms, please do not proceed with any further operations.
This Software License and Service Agreement (hereinafter referred to as the “Agreement”) is entered into by and between you and Wuxi Weida Intelligent Electronics Co., Ltd. (hereinafter referred to as “Weida”).
The content of this Agreement includes the main text of the Agreement, appendices, and all business specifications, activity rules, notices, and announcements that Weida has published or may publish in the future (hereinafter collectively referred to as the “Rules”), including but not limited to the Service Agreement, Legal Statement and Privacy Policy, etc. All Rules are an integral and inseparable part of this Agreement and shall have the same legal effect as the main text of this Agreement.
Weida reserves the right to formulate and amend this Agreement and/or various Rules from time to time as necessary. In the event of any changes, Weida will announce such changes via a website notice without sending individual notifications. The amended Agreement and Rules shall automatically take effect upon publication and become part of this Agreement. If you do not agree to the relevant changes, you shall immediately cease using Weida’s services. If you continue to use the services, you shall be deemed to have no objection to the amended Agreement and Rules and agree to comply with them.
1. Definitions
1.1. Licensed Software: Refers to the software system developed by Weida, available for download from download platforms, and strictly for installation and use on corresponding mobile terminals, including but not limited to software systems for Android and iOS.
1.2. Services: Refers to the services provided to you by Wuxi Weida Intelligent Electronics Co., Ltd. You may access the Services via the Licensed Software on your mobile terminal.
2. Service Content
2.1. Weida provides you with smart device management services. Through the mobile terminal software, you can control smart terminals and achieve interlinkage between smart devices. The service content includes smart device management, scenario linkage, and analysis reports. These functional services may be optimized, modified, or temporarily suspended due to changes in user needs, different service versions, or the sole discretion of the service provider, or during regular or irregular maintenance.
3. Scope of License
3.1. Weida grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Licensed Software.
3.2. Due to platform and terminal adaptation limitations, you understand that you may only use the Licensed Software on authorized system platforms and terminals. Installing the Licensed Software on other terminal devices (including desktop computers, laptops, handheld mobile terminals other than authorized terminals, televisions, and set-top boxes, etc.) may cause damage to your hardware or software functions.
3.3. You understand that the Licensed Software is for non-commercial purposes only. You shall not install, use, or run the Licensed Software for commercial operation purposes. If commercial reproduction, distribution, or sale is required, such as software pre-installation and bundling, prior written authorization and permission from Weida must be obtained.
3.4. Weida may change, upgrade, modify, or transfer the Licensed Software and its related functions from time to time, and may develop new functions or other services within the Licensed Software system. Unless otherwise stipulated in a separate agreement, you shall still be granted authorization for such new functions or services, and this Agreement shall apply.
4. Third-Party Software or Services
4.1. The Licensed Software may use or contain software or services provided by third parties (hereinafter referred to as “Such Services”). Such Services are provided for your convenience and are legally authorized by the respective third parties.
4.2. If Weida uses services provided by third parties, since the third party is the provider of such software or services, you shall enter into a separate service agreement with such third party, pay the corresponding fees, and bear any potential risks when using Such Services. You understand that Weida has no right to grant you any rights to use Such Services under this Agreement, nor does Weida have the right to provide any form of warranty for Such Services. Weida cannot provide customer support for Such Services; if you need support, please contact the third party directly. Any disputes arising from your use of Such Services shall be resolved directly with the third party.
4.3. You understand that the Licensed Software currently uses or contains Such Services. Weida cannot guarantee that the Licensed Software will permanently use or contain Such Services, nor can Weida guarantee that it will not use or contain similar or different software or services from this or other third parties in the future. Once Weida uses or contains the aforementioned software or services in the Licensed Software, the corresponding software or services shall also be subject to the provisions of this Article.
5. Service Standards
5.1. You should use the Licensed Software in compliance with applicable standards. The following behaviors constitute violations of the usage standards: 1) Engaging in acts that violate laws, regulations, and policies, undermine public order and good morals, or harm the public interest. 2) Unauthorized renting, lending, copying, modifying, linking, reposting, compiling, publishing, distributing, creating mirror sites of the Licensed Software and related information, or using the Licensed Software to develop derivative products, works, services, plugins, add-ons, compatibility tools, or interconnections. 3) Logging into or using the Licensed Software through third-party compatible software or systems not developed, authorized, or approved by Weida and its affiliates, or using plugins and add-ons for the Licensed Software that are not developed, authorized, or certified by Weida and its affiliates. 4) Deleting copyright information or content on the Licensed Software and its copies. Modifying, deleting, or bypassing any technical measures set up by Weida in the application products to protect intellectual property rights. 5) Without Weida’s written consent, unauthorized renting, lending, or sublicensing of the Licensed Software to third parties; simultaneously using multiple licensed versions after obtaining a license for an upgraded version; or transferring them separately. 6) Copying, reverse engineering, modifying the Licensed Software or any part thereof, or creating derivative works thereof; copying, modifying, hooking, or creating derivative works of any data released in the terminal during the operation of the Licensed Software or interaction data between the terminal and the server during operation, including using plugins, add-ons, or unauthorized third-party tools/services to access the Licensed Software and related systems. 7) Engaging in any behavior that endangers information network security, including damaging or destroying the Licensed Software, causing it to malfunction, overload, or interfering with third-party use of the Licensed Software in any way while using the software; accessing others’ computer systems without permission and deleting, modifying, or adding stored information; intentionally spreading malicious programs or viruses, and other acts that destroy or interfere with normal network information services. 8) Using the Licensed Software to publish, transmit, distribute, or store content that infringes upon the intellectual property rights, trade secrets, or other legitimate rights of others, or engaging in illegal and criminal activities such as fraud, theft of others’ accounts, or funds. 9) Modifying or forging instructions, data, or data packets during the operation of the Licensed Software to add, delete, or alter the functions or operational effects of the Licensed Software, and/or disseminating or operating software with such purposes to the public through information networks. 10) Using the Licensed Software in any other illegal manner, for any illegal purpose, or in any manner inconsistent with this Agreement.
5.2. You understand and agree that: 1) Weida will determine whether you are suspected of violating the above usage standards and, based on the determination, suspend or terminate your license to use or take other restrictive measures permitted under this Agreement. 2) For information published by you while using the Licensed Software that is suspected of being illegal, infringing upon the legitimate rights of others, or violating this Agreement, Weida will delete it directly. 3) If your violation of the above usage standards causes damage to any third party, you shall independently bear legal liability in your own name and ensure that Weida is held harmless from any losses or additional expenses incurred thereby. 4) If you violate relevant laws or the provisions of this Agreement, causing Weida to suffer any losses, receive claims from any third party, or be penalized by any administrative department, you shall compensate Weida for the losses and/or expenses incurred, including reasonable attorney’s fees and investigation and evidence collection costs.
6. Information Content Standards
6.1. You promise not to use the Services for any illegal or improper activities, including but not limited to the following behaviors:
6.1.1. Uploading, transmitting, or sharing information containing any of the following content: 1) Content that opposes the basic principles established by the Constitution; 2) Content that endangers national security, leaks state secrets, subverts state power, or undermines national unity; 3) Content that damages national honor and interests; 4) Content that incites ethnic hatred, ethnic discrimination, or undermines ethnic unity; 5) Content that undermines national religious policies or promotes cults and feudal superstitions; 6) Content that spreads rumors, disrupts social order, or undermines social stability; 7) Content that disseminates obscenity, pornography, gambling, violence, murder, terrorism, or incites crime; 8) Content that insults or defames others or infringes upon their legitimate rights; 9) Content that is false, fraudulent, harmful, coercive, invasive of privacy, harassing, abusive, defamatory, vulgar, obscene, or otherwise morally objectionable; 10) Other content restricted or prohibited by Chinese laws, regulations, rules, ordinances, and any norms with legal effect.
6.1.2. Impersonating any person or entity, or making false or misleading statements or falsely claiming affiliation with any person or entity.
6.1.3. Forging headers or otherwise manipulating identification information to mislead others into believing that the content was transmitted by Weida or its affiliates.
6.1.4. Uploading, transmitting, or sharing any content that you know but have no right to transmit under any law, contract, or fiduciary relationship (e.g., internal information, proprietary and confidential information known or disclosed due to employment relationships or confidentiality agreements).
6.1.5. Uploading, transmitting, or sharing content suspected of infringing upon the rights of others (including but not limited to intellectual property rights such as copyrights, patent rights, trademark rights, and trade secrets).
6.1.6. Stalking or otherwise harassing others, or sending a large volume of messages to friends or other users through the Services.
6.1.7. Uploading, transmitting, or sharing any advertisements, promotional information, promotional materials, “spam,” “junk mail,” “chain letters,” “direct marketing,” or any other form of solicitation materials, except in designated areas or functions specifically provided for such purposes.
6.1.8. Since the Services are not designed for certain specific purposes, you shall not use the Services in critical fields including but not limited to nuclear facilities, military use, medical facilities, and transportation communications. Weida shall not bear legal liability for any casualties, property damage, or environmental destruction caused by the failure of the above operations due to software or service reasons.
6.1.9. Engaging in any behavior beyond the normal purpose of internal or external information communication and exchange between friends or users.
6.1.10. Establishing friend relationships with other users (including but not limited to one-way and two-way friend relationships) by adding them yourself or inducing others to add you, for purposes beyond normal internal or external information communication and exchange between friends or users (including but not limited to sending advertisements, spam, harassment, or illegal and non-compliant information).
6.1.11. Sending a large volume of messages to friends or other users through the Services.
6.1.12. Violating the “Seven Bottom Lines” requirements regarding compliance with laws and regulations, the socialist system, national interests, legitimate interests of citizens, public order, social morality, and authenticity of information.
6.1.13. Engaging in any behavior that violates Chinese laws, regulations, rules, policies, and normative documents.
7. Privacy Policy and Data
7.1. Protecting your personal information is important to Weida. Weida has formulated the Legal Statement and Privacy Policy to make important disclosures regarding the ownership and protection of intellectual property, as well as the collection, use, sharing, storage, and protection of your information. Weida recommends that you read the Legal Statement and Privacy Policy in its entirety to help you better protect your personal information.
8. Disclaimer and Limitation of Liability
8.1. Except as expressly provided by laws and regulations, Weida will make every effort to ensure that the Licensed Software and its related technology and information are secure, effective, accurate, and reliable. However, limited by current technology, you understand that Weida cannot provide warranties in this regard.
8.2. You understand that Weida shall not be liable for any direct or indirect losses caused by force majeure or third-party reasons.
8.3. You shall bear sole responsibility for any personal injury or incidental, indirect damages arising from or related to any of the following circumstances, including but not limited to loss of profits, data loss, business interruption, or other commercial damages or losses: 1) Use or inability to use the Licensed Software; 2) Unauthorized use of the Licensed Software or alteration of your data by third parties; 3) Costs and losses incurred from actions performed using the Licensed Software; 4) Your misunderstanding of the Licensed Software; 5) Other losses related to the Licensed Software not caused by Weida.
8.4. Any software derived from the Licensed Software that is not developed and officially released by Weida or authorized by Weida is illegal. Downloading, installing, or using such software may lead to unforeseeable risks. Weida shall not be liable for any legal liabilities or disputes arising therefrom, and Weida reserves the right to suspend or terminate the license to use and/or all other services.
8.5. Weida may recommend corresponding ingredients, food, exercise goals, etc., based on relevant nutritional, balanced diet, and exercise information. However, you acknowledge and agree that such information is for reference only and does not constitute professional or occupational advice or conclusions. You need to evaluate the reasonableness yourself and take appropriate self-protection measures during exercise.
9. Intellectual Property Rights
9.1. Weida owns the software copyrights, patents, trademarks, trade secrets, and other related intellectual property rights of the Licensed Software, including various documentation and materials related to the Licensed Software and the intellectual property rights therein.
9.2. The relevant marks, logos, and names of the Licensed Software are the intellectual property of Weida and its affiliates and are protected by relevant laws and regulations. Without explicit authorization from Weida, you shall not copy, imitate, use, or publish the above marks, nor shall you modify or delete any marks or identity information representing Weida and its affiliates in the application products.
9.3. Without the prior written consent of Weida and its affiliates, you shall not implement, utilize, or transfer the above intellectual property rights for any for-profit or non-profit purposes, nor license any third party to implement, utilize, or transfer them.
10. Termination of Agreement and Breach of Contract Liability
10.1. You understand that using the Licensed Software within the scope of authorization, respecting the intellectual property rights of the software and its content, using the software in compliance with standards, and fulfilling obligations as stipulated in this Agreement are prerequisites for obtaining Weida’s authorization. If you seriously violate this Agreement, Weida will terminate your license to use.
10.2. Your use of the software depends on the supporting services provided by Weida’s affiliates. If you violate the terms, agreements, rules, notices, or other relevant provisions of Weida or its affiliates and the services are terminated by any of the aforementioned websites, it may result in your inability to use the Licensed Software normally, and Weida reserves the right to terminate your license to use.
10.3. You understand that for the purpose of maintaining platform order and protecting consumer rights, if you make any form of commitment to Weida and/or its affiliates, and the relevant company confirms that you have violated such commitment and notifies Weida to handle it in accordance with your relevant agreement, Weida may take restrictive measures against your license to use and other rights and interests under Weida’s control in accordance with your commitment or the agreement, including suspending or terminating your license to use.
10.4. Once you violate the provisions of this Agreement or other agreements signed with Weida, Weida may notify its affiliates to request them to take restrictive measures against your rights and interests, including requesting affiliates to suspend or terminate part or all of the services provided to you, and publicly announce your breach of contract on websites operated or actually controlled by them in accordance with the law.
10.5. The Licensed Software is obtained by you through download platforms. You need to comply with the agreements and restrictions on your use of the Licensed Software set by the download platforms, system platforms, and terminal manufacturers. If the aforementioned third parties confirm that you have violated such agreements and request Weida to handle it, Weida may terminate your license to use at the request of the third party.
10.6. Upon termination of this license to use, you shall cease using the Licensed Software and destroy all copies of the Licensed Software.
10.7. If you violate the terms of this Agreement and cause losses to Weida or other users, you must bear full compensation liability. If Weida assumes the aforementioned liability, you agree to compensate Weida for related expenses and losses, including reasonable attorney’s fees.
11. Governing Law and Severability
11.1. The validity, interpretation, amendment, execution, and dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China. In the absence of relevant legal provisions, general international commercial practices and/or industry practices shall be referenced.
11.2. Disputes arising from or related to this Agreement may be resolved through friendly negotiation with Weida or submitted to the People’s Court at the domicile of the defendant for adjudication.
11.3. If any provision of this Agreement is ruled invalid by a People’s Court with jurisdiction, it shall not affect the validity of the remaining provisions or any part thereof, and you and Weida shall still perform them in good faith.
12. Miscellaneous
12.1. Weida may change the entity providing software services to you due to business adjustments. The changed entity shall jointly perform this Agreement with you and provide services to you. Such changes will not affect your rights and interests under this Agreement. In the event of a dispute, you may determine the contracting party and the opposing party in the dispute based on the specific services you use and the specific entity whose actions affect your rights and interests.
12.2. All headings in this Agreement are for prominence and ease of reading only and have no substantive meaning. They shall not be used as a basis for interpreting the meaning of this Agreement.
